1. Scope of services
BuildWithMe is a trading name of Arthur Vasylenko, a sole proprietor registered in Ukraine. The service provider is Arthur Vasylenko, sole proprietor, trading as BuildWithMe, at 2/1 Akademika Filatova St, Kyiv, 01042, Ukraine. Contact: hello@buildwithme.store. We provide web platforms, automation, messaging systems, data pipelines, monitoring, and related technical services as separately agreed. Website descriptions are informational and do not constitute a binding offer or a promise of availability.
2. Engagements and statements of work
Project work begins under a written agreement or statement of work accepted by both parties. It defines scope, deliverables, milestones, acceptance criteria, fees, dependencies, and any support terms. If these general terms conflict with a signed project agreement, that agreement governs the engagement.
Changes to scope, schedule, or assumptions require written agreement and may affect fees. Clients are responsible for timely feedback, authorized access, and the accuracy and legality of materials they provide.
3. Intellectual property
IP in bespoke project deliverables transfers to the client on payment of the amounts due for those deliverables, as set out in the project agreement. Unless that agreement states otherwise, neither party transfers intellectual property merely by discussing a project.
Pre-existing tools, reusable components, and third-party or open-source software remain subject to their respective ownership and license terms. You must have the necessary rights to any content, data, or code you provide.
4. Payment terms
Fees, currency, payment milestones, invoice due dates, applicable taxes, and any deposits are agreed in writing before work starts. Third-party hosting, messaging, software, and usage charges are included only if expressly stated.
Overdue payments may lead to a pause in work after notice, subject to the project agreement and applicable law. Cancellation, refunds, and payment for completed work are governed by that agreement.
5. Warranties and acceptance
We perform agreed services with reasonable professional care. Testing, acceptance procedures, defect correction, and any warranty period are set out in the project agreement. We do not guarantee commercial outcomes, uninterrupted operation, or compatibility with future third-party changes.
Except for express written commitments and rights that cannot lawfully be excluded, the website and its informational content are provided as available without additional warranties.
6. Limitation of liability
To the extent permitted by applicable law, neither party is liable under these general terms for indirect or consequential losses, including lost profits, business opportunities, or anticipated savings. For a paid engagement, BuildWithMe’s aggregate liability arising from that engagement is limited to fees paid for the statement of work giving rise to the claim, unless its written agreement specifies another limit.
No exclusion or limit applies where prohibited by law, including liability for fraud or intentional misconduct and any mandatory statutory liability.
7. Website use and external services
You may use this website for lawful purposes. Do not attempt unauthorized access, disrupt its operation, or misuse its content. Third-party platforms and services used in a project have their own terms and availability constraints; responsibilities are defined in the project scope.
8. Confidentiality
Each party must protect non-public business, technical, and personal information received for the engagement, use it only for that purpose, and disclose it only to authorized people who need it and are bound to protect it. This does not cover information already public, independently developed, or lawfully received from another source.
Legally required disclosures are permitted, with prior notice where lawful. Confidentiality continues after the engagement while the information remains confidential. An NDA with additional terms is available on request before disclosure.
9. Termination
Either party may terminate an engagement under the notice and cancellation terms in its written agreement. A material breach may justify termination if it is not remedied within the written cure period specified in that agreement or in a reasonable written notice where no period is specified.
On termination, the client pays for completed work and approved non-cancellable commitments under the agreement. We provide paid-for deliverables and agreed handover materials, revoke project access, and return or delete confidential information subject to legal retention duties. Unearned prepaid amounts are reconciled against completed work and agreed costs; any balance is returned. Accrued payment obligations, confidentiality, IP provisions, and applicable liability terms survive termination.
10. Governing law and disputes
These terms are governed by the laws of Ukraine, subject to mandatory protections that apply under other applicable laws. Please contact us first to seek a practical resolution of a dispute. Jurisdiction and any specific dispute procedure for an engagement may be agreed in its written contract.
11. Changes and contact
We may revise these terms by publishing an updated version with a new effective date. Updates do not change an existing signed project agreement unless both parties agree. Questions may be sent to hello@buildwithme.store.
